Businesses for Sale
Existing Venezuelan companies open to acquisition.
The price is rarely the problem. What the company quietly owes, to its workers, the tax authority and the regulators, is.
Businesses change hands in Venezuela with less formality than most buyers expect. No merger approval is required and closings are often done remotely. The exposure is what transfers with the company. Labour liabilities follow the workforce for years, tax debts follow the assets, registrations can be silently blocked, and a missed formality can make the buyer liable for the seller's debts.
Before you buy a business here, we help you see the one you are actually buying. Its registrations, its workforce obligations, and the liabilities that never appear in the accounts.
What a first conversation covers
- 01The registrations that must be alive for a company to operate at all, and how each is checked
- 02What labour law makes of the workforce you take over, with dismissal protection near absolute through 2026
- 03The diligence a Venezuelan lawyer runs that a foreign one would not know to ask for
- 04Structures that price the risk, from minority stakes to earn-outs and staged payments
- 05The formal steps whose omission transfers the seller's debts to you
Price controls, margin rules and labour protections here carry administrative and criminal teeth. Never close on a Venezuelan company without local counsel and a complete labour and regulatory file. The cheapest business can be the most expensive one.

Why would I not just buy the company directly?
Sometimes you should. But a Venezuelan company carries its history with it, and labour and tax liabilities follow it for years. Structures like staged payments or a minority stake with strong rights often price that history better than a clean handover pretends to.
What should be checked before any offer?
That the company exists in good standing everywhere it must, commercially, fiscally and in the sector registries, and what its workforce obligations amount to. Dismissal protection is close to absolute at the moment, so you are, in practice, buying the staff as well.
How long does a purchase take?
The signing can be quick, and often happens remotely. The diligence is what takes the time, and it is the part we would never compress. A few weeks of checking is cheap against years of someone else's liabilities.
